USREM Securities, LLC (“USREM Securities”, “Firm,” “we” or “us”) is registered as a broker-dealer with the U.S. Securities and Exchange Commission (“SEC”). We are also a member of the Financial Industry Regulatory Authority (“FINRA”) and of the Securities Investor Protection Corporation (“SIPC”).
This document provides a summary of the services we offer to retail investors and the fees we charge. Brokerage and investment advisory services and fees differ and it is important for you to understand the difference. Free and simple tools are available to research firms and financial professionals at Investor.gov/CRS which also provides educational materials about broker-dealers, investment advisers and investing.
We provide limited brokerage services to retail and institutional investors. The only services we provide to retail investors involve the sale and resale of private placement securities that represent interests in real estate holdings. The firm also works with Issuers of real estate securities to support their listing of securities on the Firm’s Alternative Trading System (“ATS”).
We do not offer any other investment products or provide any other services to retail investors. We do not make recommendations and will not provide you with personalized advice based on your overall portfolio as to whether you should make or continue to hold a particular investment or as to which types of investments may be better suited for you. We will not hold your investments and will not monitor any investments made or held by you.
Offerings on our platform have a minimum investment of $100,000 and may be higher for certain offerings. For information on applicable minimums and eligibility requirements, please consult the specific investment’s offering documents and relevant web page.
We do not have discretionary authority to make trades on your behalf. You are responsible for the ultimate decisions regarding the purchase or sale of any securities for your account.
We will not render advice regarding financial, legal, accounting, regulatory, tax or other matters. You should consult your own financial, legal, accounting, tax and other appropriate advisors regarding how any investments fit within your overall investment portfolio and financial plan.

Commissions, fees, and costs are contained in the offering documents and relevant web page for each investment, which you will be provided with and should read carefully. The investments we offer will often contain a transaction-based fee.
When we are paid a transaction-based fee, we have an incentive to encourage you to invest in the investments we offer. The more investments you make in our offering, the more you would be charged, therefore we have an incentive to encourage you to trade often. This transaction-based payment may cause a conflict between your interests and ours.
You will pay fees whether you make or lose money on your investments. Fees and costs will reduce any amount of money you make on your investments over time. Please make sure you understand what fees and costs you are paying.
